Small and mid-cap PIE are highly cost-sensitive and often treat compliance as a commodity, giving the firm minimal room to pass on these inflated overhead costs.
If a mid-size audit firm behaves like a Big 4 firm on the cost side (heavy enterprise tech spend and top-tier salaries) while capturing only mid-tier or small-cap public interest entity fee structures, it is not financially viable for the mid size audit firms to maintain their licence with AOB.

Being a trusted, public-interest entity (PIE) auditor allows the firm to pitch high-margin corporate advisory, tax restructuring, M&A due diligence, and digital transformation consulting to the client's network or adjacent non-audit clients.
If the mid size audit firms are honest with themselves, probably except for tax restructuring and M&A due diligence, they do not have the resources or expertise to offer corporate advisory and digital transformation consulting.
The question then would be, how lucrative and how large are the markets for tax restructuring and M&A due diligence?
If mid size audit firms intend to compete purely on low prices, and offer only statutory audits, do not match Big 4 costs—it is a fast track to bankruptcy.
Managing an active AOB inquiry or remediation plan can completely consume a mid-size firm's leadership team, diverting critical resources away from day-to-day operations and business development.
A single public reprimand or monetary penalty by the AOB can permanently damage a mid-size firm's reputation, leading to an immediate loss of non-PIE clients and private corporate accounts and potentially result in the mid size audit firm being disbanded.
